ZeroDegrees provides payment services to Service Providers and Customers of the ZeroDegrees Platform. These payment services include the following (collectively, “Payment Services”):

  • Collecting payments from Members (“Payin”), by charging the payment method (i) associated with their ZeroDegrees account or (ii) provided at checkout, such as a credit or debit card (“Payment Method”);
  • Effecting payments to Service Providers for services booked by Customers via the ZeroDegrees Platform (“Payout”) to a financial instrument associated with their ZeroDegrees account, such as a Stripe account (“Payout Method”).

These Payment Terms of Service (“Payment Terms”) govern your use of the Payment Services on the ZeroDegrees Platform. By using the Payment Services, you agree to comply with these Payment Terms, our Terms of Service (“Terms”), Privacy Policy , and other terms that apply to your use of the ZeroDegrees Platform (collectively, “ZeroDegrees Terms”). You also agree to comply with any applicable laws or regulations, agreements with third parties and third-party rights. Capitalized terms used in these Payment Terms and not defined here have the meanings given to them in the ZeroDegrees Terms.

1. Your use of the Payment Services

1.1 ZeroDegrees Payment Services. You agree that you will not nor will otherwise assist or enable others to use the Payment Services for any other purpose that is not expressly permitted by these Payment Terms. ZeroDegrees may temporarily limit or suspend your access to or use of the Payment Services to carry out maintenance procedures that ensure the proper functioning of the Payment Services. ZeroDegrees may improve, enhance and modify the Payment Services and introduce new Payment Services from time to time. ZeroDegrees will provide notice to Members of any changes to the Payment Services whenever such changes materially increase the Members’ contractual obligations or decrease the Members’ rights under these Payment Terms.

1.2 Third Party Services. The Payment Services may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services are subject to different terms of service and privacy policies, and Members should review them. ZeroDegrees is not responsible or liable for the use of such Third-Party Services. Links to any Third-Party Services are not an endorsement by ZeroDegrees of those Third-Party Services.

2. Appointment of ZeroDegrees as Limited Payment Collection Agent

2.1 Service Providers. Each Service Provider hereby appoints ZeroDegrees as their limited payment collection agent solely for the purpose of accepting and processing funds from Customers booking Services delivered by the Service Provider on the Service Provider’s behalf. Each Service Provider agrees that payment made by a Customer through ZeroDegrees, shall be considered the same as a payment made directly to the Service Provider, and the Service Provider will provide the Service booked by the Customer in the agreed-upon manner as if the Service Provider had received the payment directly from the Customer. Each Service Provider agrees that ZeroDegrees may refund the Customer in accordance with our Cancellation and Refund Policy. Each Service Provider understands that ZeroDegrees’ obligation to pay the Service Provider is subject to and conditional upon successful receipt of the associated payment from the Customer. ZeroDegrees guarantees payment to the Service Provider only for such amounts that have been successfully received by ZeroDegrees from the Customer in accordance with these Payment Terms. In accepting appointment as the Service Provider’s limited payment collection agent, ZeroDegrees assumes no liability for any acts or omissions of the Service Provider.

2.2 Customers. Each Customer acknowledges and agrees that, notwithstanding the fact that ZeroDegrees is not a party to the agreement between you and the Service Provider, ZeroDegrees acts as the Service Provider’s payment collection agent for the limited purpose of accepting payments from you on their behalf. Upon a Customer’s payment of the funds to ZeroDegrees, the Customer’s payment obligation to the Service Provider for the agreed upon amount is extinguished, and ZeroDegrees is responsible for remitting the funds successfully received to the Service Provider in the manner described in these Payment Terms. In the event that ZeroDegrees does not remit any such amounts, the Service Provider will have recourse only against ZeroDegrees and not the Customer directly.

3. Member Terms

3.1 Adding a Payment Method. When you add a Payment Method to your ZeroDegrees account, you will be asked to provide financial instrument information to ZeroDegrees. When you use a Payment Method during checkout, you may add that Payment Method to your ZeroDegrees account so it can be used for a future transaction, in which case, you authorize ZeroDegrees to collect and store your Payment Method information. You agree that you will not use any Payment Method that is not yours or that you do not have authorization to use.

3.2 Payment Authorization. You allow ZeroDegrees to charge your Payment Method for all charges due (including any applicable taxes) in connection with the Services you book via the ZeroDegrees platform.

3.3 Timing of Payment. ZeroDegrees charges the Total Price due at the time you make the booking. Once the payment for your booking is successfully completed, you will receive a booking confirmation email.

3.4 Currency. ZeroDegrees will process each transaction in the currency specified in the Listing for the service you booked via the ZeroDegrees Platform. Note that if your booking’s currency is different than your Payment Method’s billing currency, your payment may be processed outside of your country of residence. As a result, certain fees may apply and the amount listed on your card statement may be different from the amount shown at checkout. For example, if you make a booking in Euro but use a U.K. issued card to pay for it, your payment may be processed outside the U.K., and banks and credit card companies may impose international transaction fees and foreign exchange fees. ZeroDegrees is not responsible for any such fees and disclaims all liability in this regard. Please contact your bank or Credit Card Company if you have any questions about those fees or the applicable exchange rate.

3.5 Cancellation Fees. If a Customer cancels a booking, a Cancellation Fee of 10% of the Booking Total may be charged in which case it will be deducted from the refund amount received, according to our Cancellation and Refund Policy.

3.6 Payment Restrictions. ZeroDegrees reserves the right to decline or limit payments that we believe (i) may violate our risk management policies or procedures, (ii) may violate these Payment Terms or our Terms, (iii) are unauthorized, fraudulent or illegal, or (iv) expose you, ZeroDegrees or others to risks unacceptable to ZeroDegrees. Additionally, for unsuccessful payment due to card expiration, insufficient funds, or otherwise, we may temporarily suspend your access to the Payment Services until we can charge a valid Payment Method.

4. Service Provider Terms

4.1 Payment Collection. ZeroDegrees collects the Booking Total at the time the Customer makes the booking, unless noted otherwise.

4.2 Valid Payout Method. In order to receive a Payout you must have a valid Stripe account linked to your ZeroDegrees account. You authorize ZeroDegrees to collect and store your Payout Method information. ZeroDegrees may also share your information with governmental authorities as required by applicable law. You agree that you will not use any Payout Method that is not yours or that you do not have authorization to use. By agreeing to these Payment Terms you as a Service Provider have consented to our payment of each Payout to your Payout Method.

4.3 Timing of Payout. Subject to and conditional upon successful receipt of the payment from the Customer, ZeroDegrees will generally initiate Payout to your selected Payout Method 24 hours after the booking has ended. ZeroDegrees will be deemed to have received the payment order to the Service Provider on the same date ZeroDegrees agrees to initiate the Payout. We will endeavour to ensure that Service Providers receive each Payout by the end of the business day following our initiation of the Payout.

4.4 Booking Fees. ZeroDegrees charges Service Providers a Booking Fee when Customers make a booking, pursuant to Section 11 of our Terms. The Booking Fee is automatically deducted from the Payout Amount for that booking.

4.5 Cancellation Fees. If a Service Provider cancels a booking, a Cancellation Fee of 10% of the Booking Total may be charged in which case it will be deducted from an upcoming payout, according to our Cancellation and Refund Policy.

4.6 Payout Amount. Your Payout Amount for a booking will be the Booking Total minus our Booking Fee. Your Payout for a booking includes any applicable taxes and you are solely responsible for the payment of any taxes due to the tax authorities. In the event of cancellation of a booking, you will not receive a payout for that booking.

4.7 Payout Restrictions. ZeroDegrees may temporarily place a hold, suspend, cancel or delay initiating or processing any Payout due to you under our Terms for the purposes of (i) preventing unlawful activity or fraud, (ii) conducting risk assessment or security checks, (iii) completing an investigation, (iv) obtaining or verifying requested information or (v) as a result of high volume booking cancellations as a consequence of a Force Majeure event (as defined in our Terms). Additionally, we may temporarily suspend your use of the Payment Services (i) if you have provided inaccurate, fraudulent, outdated, or incomplete information for a Payout Method or (ii) for any amounts you owe under these Payment Terms that are overdue or in default.

4.8 Payment Service User. The Payment Services constitute “payment services” regulated under the modified Law of 10 November 2009 on Payment Services (“Law of 2009”) and for these purposes ZeroDegrees treats Service Providers as the “payment service user”. In the relation between you and ZeroDegrees, the legal provisions relating to the form and procedure for giving consent to the initiation of a payment order or the execution of a payment transaction and the withdrawal of such consent shall apply at any time, such as Articles 81 and 93 of the Law 2009 on Payment Services.

5. General Terms

5.1 Payment Authorizations. You authorize ZeroDegrees to collect from you amounts due pursuant to these Payment Terms and/or our Terms by either (i) charging the payment method associated with your ZeroDegrees account or provided at checkout, or (ii) withholding the amount from a future Payout. Specifically, you authorize ZeroDegrees to collect from you (i) any amount due to a Service Provider which ZeroDegrees collects as the Service Provider’s limited payment collection agent as set forth in Section 2 above, (ii) any taxes, where applicable, as set forth in our Terms, (iii) any Booking Fees imposed pursuant to our Terms, (iv) any Cancellation Fees imposed pursuant to our Cancellation and Refund Policy, or (v) any other amount due to ZeroDegrees resulting from your actions as a Customer or a Service Provider. In addition to any amount due as outlined above, if there are amounts which you owe us but are unpaid or chargebacks associated with your Payment Method, you may be charged fees that are incidental to ZeroDegrees collection of these amounts and chargebacks. Such fees or charges may include collection fees, convenience fees or other third-party charges.

5.2 Payment Processing Errors. ZeroDegrees will take the necessary steps to rectify any payment processing errors that we become aware of. These steps may include crediting or debiting (as appropriate) the Payout Method or Payment Method used by you, so that you end up receiving or paying the correct amount. We may also take steps to recover funds sent to you in error (including but not limited to an event of duplicate Payouts made to you), by reducing, setting off and/or debiting the amount of such funds from any future Payouts owed to you. In the event that you receive any funds in error, you agree to immediately return the entirety of such funds to ZeroDegrees.

5.3 Refunds. Any refunds due to a Customer pursuant to our TermsExtenuating Circumstances Policy, and Cancellation and Refund Policy, will be immediately initiated and remitted by ZeroDegrees in accordance with these Payment Terms. If the refund takes the form of a Zedos refund, Zedos points are immediately credited to the Customer’s ZeroDegrees account and are readily available to be used in any purchase on our Platform. If the refund takes the form of a money refund, the Customer will only see the refund amount credited to the original payment method within 5-10 business days. This variation is based on the Payment Method used and its pre-authorization release rules as well as on any applicable rules of the payment system (e.g., Visa, Mastercard, etc.).In the event of a Force Majeure event that may affect the processing and settlement of refunds, ZeroDegrees will initiate and process the refund as soon as is practicable.

5.4 Third-Party Payment Processor. Payment Services may involve the use of a third-party payment processor. This payment processor may charge you additional fees when processing your Payment Method or Payout Method in connection with Payment Services, and ZeroDegrees is not responsible for any such fees and disclaims all liability in this regard. Your Payment Method or Payout Method may also be subject to additional terms of service and you should review those terms before using them. If there is a conflict between these Payment Terms and terms of service applicable to a specific Payment Service, the latter terms of service will take precedence with respect to your use of or access to that Payment Service, unless otherwise specified.

5.5 Severability. If any provision of these Payment Terms is found to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

5.6 No Waiver. Our failure to enforce any right or provision in these Payment Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

5.7 Customers with France As Country of Residence. Notwithstanding anything to the contrary in the Payment Terms, for the avoidance of any doubt, in connection with Customers who reside in France, the Booking Total collected by ZeroDegrees from Customers are considered down payments (“acomptes”) within the meaning of French law.

6. Unclaimed Property

If ZeroDegrees holds funds due to you (e.g., because we are unable to issue you a Payout or a refund) or if you do not use a Gift Card within the time period set forth by your local jurisdiction’s unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by reporting and sending such funds to the appropriate governing body as required by applicable unclaimed property laws.

7. Disclaimers

7.1 If you choose to use the Payment Services, you do so voluntarily and at your own risk. To the maximum extent permitted by law, the Payment Services are provided “as is”, without warranty of any kind, either express or implied.

7.2 ZeroDegrees is not liable for any loss you incur arising from (i) payment transactions we facilitated based on incorrect information you provided for your Payment Method or Payout Method, or (ii) Diverted Payouts where you acted fraudulently or where, with intent or gross negligence, you failed to use the ZeroDegrees Platform and/or Payment Services in accordance with our Terms or these Payment Terms, including the obligation to keep your Credentials safe.

7.3 Notwithstanding our appointment as the limited payment collection agent of Service Providers pursuant to Section 4, ZeroDegrees explicitly disclaims all liability for any act or omission of any Member or other third party. ZeroDegrees does not have any duties or obligations as agent for each Service Provider except to the extent expressly set forth in these Payment Terms, and any additional duties or obligations as may be implied by law are, to the maximum extent permitted by applicable law, expressly excluded.

8. Diverted Payouts

You should notify ZeroDegrees immediately if you believe a Payout is diverted because your Credentials are lost or stolen or a payment transaction was unauthorized or incorrectly initiated or executed. You may be entitled to a refund of that Diverted Payout provided that you notify us within 13 months of the Payout date. If a Payout due to you via your chosen Payout Method was not received, ZeroDegrees will (if requested) make immediate efforts to trace the payment and will notify you of the outcome. Unless we can prove that the payment was received by you via your chosen Payout Method, we will refund the amount.

9. Termination

You may terminate this agreement at any time by requesting the deletion of your ZeroDegrees account. ZeroDegrees may terminate this agreement for any reason by giving you 30 days’ notice via email to the email address associated with your account. ZeroDegrees may also terminate this agreement immediately and without notice, pursuant to Section 17.3 of our Terms of Service.

10. Changes to these Terms

ZeroDegrees reserves the right to modify these Payment Terms at any time by posting an update on this page. We will also provide you with notice of any material changes by email at least thirty (30) days before the date they become effective, and where the changes are to your detriment, we will inform you about your right to terminate your Terms of Service Agreement with ZeroDegrees. By continuing to access or use the ZeroDegrees Platform after the changes to these Payment Terms become effective, you are agreeing that the Payment Terms are acceptable to you and binding on you. If the modified Payment Terms are not acceptable to you, your only recourse is to terminate your Agreement with ZeroDegrees before the date the revised Payment Terms become effective.
